Associate General Counsel – Benefits and Executive Compensation Attorney


This attorney role within the Legal Department will provide advice and counsel regarding various aspects of employee benefits and executive compensation matters in a time sensitive and often fast-paced environment. The role reports to the Senior Vice President – Division General Counsel of the Employment Law, Benefits, and Litigation team.


ROLES AND RESPONSIBILITIES:

-Provide high-level, strategic counsel in the design, implementation, and execution of employee benefit plans and programs, including health and welfare plans, qualified and nonqualified retirement plans, and equity and deferred compensation plans

-Provide counsel regarding the application of, and compliance with, the Internal Revenue Code and the Employee Retirement Income Security Act as they pertain to retirement, health and welfare, equity and deferred compensation, and other employee benefit plans/arrangements

-Manage Company responses and act as Company representative with regard to governmental agency inquiries regarding plan operations

-Act as legal advisor to various benefit plan committees regarding operating in accordance with each committee’s charter and applicable law

-Participate in the review and negotiation of administrative services agreements with human resource and benefits-related carriers and service providers

-Work daily with the compensation and benefits team to resolve administrative concerns

-Advise on various executive compensation matters, including the interpretation and application of Internal Revenue Code Sections 409A, 162(m), and 280G

-Draft and edit plan documents, summary plan descriptions, equity compensation plan award agreements, and other required documentation

-Strategize and execute the Company’s approach to correction procedures for plan errors under IRS and DOL plan correction procedures

-Advise on pertinent benefit and compensation issues with regard to severance, retention, and other employment-related agreements

-Maintain and support a culture of legal compliance

REQUIRED TECHNICAL SKILLS:

-10+ years of legal experience as a practicing attorney with a national law firm and/or corporate law department handling employee benefit matters

-Expert level knowledge of the Internal Revenue Code and ERISA as it pertains to employee benefit plans and programs

-Extensive knowledge of US labor and employment laws, and benefit plan litigation processes

-Initiative, integrity, resilience, and ability to manage multiple projects at the same time

-Superior communication, analytical, and organizational skills

-Ability to work independently and in a cross-functional team environment

-Ability to collaborate, persuade, build relationships, and gain credibility, in a large organization


REQUIRED EDUCATION:

Law Degree and license to practice law in Florida, or ability to obtain Florida in-house counsel designation
